1. Introduction

Welcome to Property365 (“Property365”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of the Property365 platform, website, software, tools, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to be legally bound by these Terms. If you do not agree, you must not use the Services.

2. Nature of the Platform

Property365 is a technology platform that enables real estate professionals, developers, brokers, agents, and property owners (“Users”) to create and manage websites, project pages, and digital real estate platforms. Property365:

  • Is NOT a real estate broker, agent, advisor, or intermediary.
  • Does NOT facilitate property transactions.
  • Does NOT participate in negotiations between users and their clients.
  • Does NOT verify property ownership, licensing, or credentials of users.
  • Does NOT guarantee the accuracy of any property information published through the Services.

Users independently publish and manage their own websites and property-related content. All responsibility for published content rests solely with the User.

3. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts under applicable law (including the Indian Contract Act, 1872 or applicable UAE laws, where relevant). By using the Services, you represent and warrant that:

  • You have full authority to enter into these Terms.
  • You are legally permitted to provide real estate-related services in your jurisdiction.
  • All information provided to Property365 is accurate and current.

4. User Accounts

You are responsible for:

  • Maintaining confidentiality of login credentials.
  • All activity under your account.
  • Ensuring your account information remains accurate.

Property365 is not liable for unauthorized access resulting from your failure to secure your account.

5. User Content and Publishing Responsibility

“User Content” includes all materials you upload, publish, or distribute through Property365, including but not limited to:

  • Property descriptions
  • Pricing information
  • Floor plans
  • Images and videos
  • Project details
  • Contact information
  • Legal disclosures

You represent and warrant that:

  • You own or have the legal right to use and publish such content.
  • Your content complies with all applicable laws, including RERA regulations in India and relevant property regulations in UAE.
  • Your content is accurate and not misleading.

Once published, you are solely responsible for all consequences arising from your website or content. Property365 does not monitor, pre-approve, or verify listings or project information

6. Regulatory Compliance

You are solely responsible for complying with:

  • The Real Estate (Regulation and Development) Act (RERA), where applicable.
  • Dubai Land Department (DLD) regulations, where applicable.
  • Advertising and consumer protection laws.
  • Data protection laws applicable in your jurisdiction.

Property365 assumes no responsibility for regulatory violations committed by Users.

7. Direct Communication

Property365 allows direct communication between Users and their clients through published contact information. Property365:

  • Is not involved in communications.
  • Does not supervise or moderate negotiations.
  • Is not responsible for agreements, disputes, or outcomes.

All interactions occur independently between parties.

8. Fees and Payments

Certain Services require payment of subscription fees or related service fees ("Fees").

  • Fees are payable in advance.
  • All Fees are non-refundable unless expressly stated.
  • Property365 may revise pricing with notice.
  • Subscription plans may renew automatically unless cancelled prior to renewal date.

Property365 processes payments solely for platform access and related SaaS services. We do not process property transaction payments.

9. Leads8n and Automation Services

If you use Leads8n or automation-related tools:

  • You are responsible for lawful use of communication tools.
  • You must comply with anti-spam laws and telemarketing regulations.
  • Property365 does not guarantee lead quality, accuracy, or conversion rates.

Improper or unlawful usage may result in suspension.

10. Intellectual Property

10.1 Your Content

  • You retain ownership of your content.
  • You grant Property365 a limited license to host, store, display, and process your content solely for providing the Services.

10.2 Property365 IP

  • All software, systems, branding, templates, and platform infrastructure belong exclusively to Property365.
  • You receive a limited, non-transferable, revocable license to use the Services during your active subscription.

11. Prohibited Conduct

You agree not to:

  • Publish false or misleading property information.
  • Advertise properties without authorisation.
  • Misrepresent licensing or affiliations.
  • Use the platform for unlawful marketing.
  • Attempt to reverse engineer the platform.
  • Use Property365 to build a competing service.

Violation may result in suspension or termination without refund.

12. Platform Rights

Property365 reserves the right to:

  • Remove content that violates these Terms.
  • Suspend or terminate accounts.
  • Modify or discontinue Services.

We are not obligated to monitor User Content.

13. Third Party Services

Property365 may integrate third-party tools, hosting, payment gateways, or software services. We are not responsible for:

  • Third-party service failures.
  • Payment gateway errors.
  • Hosting disruptions beyond our control.

Use of such services is subject to their respective terms.

14. Privacy

Your use of the Services is also governed by our Privacy Policy. Property365 processes personal data in accordance with applicable Indian and UAE data protection laws.

15. Disclaimer of Warranties

The Services are provided “as is” and “as available.” Property365 does not warrant that:

  • The platform will be uninterrupted or error-free.
  • Websites will generate leads or sales.
  • Content published by Users is accurate.

You use the Services at your own risk.

16. Limitation of Liability

To the maximum extent permitted by law: Property365 shall not be liable for:

  • Loss of profits
  • Business interruption
  • Loss of data
  • Disputes between Users and their clients
  • Regulatory penalties imposed on Users

Our total aggregate liability shall not exceed the total fees paid by you in the preceding 12 months.

17. Indemnification

You agree to indemnify and hold Property365 harmless from any claims, damages, penalties, regulatory actions, or disputes arising from:

  • Your content
  • Your website
  • Your regulatory non-compliance
  • Your dealings with clients

18. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall be resolved exclusively by arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, India. The proceedings shall be conducted in English. Subject to the foregoing, courts located in New Delhi shall have exclusive jurisdiction.

19. Changes to Terms

We may update these Terms at any time. Continued use of the Services constitutes acceptance of revised Terms.

20. Miscellaneous

  • No partnership or agency is created.
  • Users are independent contractors.
  • If any provision is invalid, the remaining provisions remain enforceable.
  • You may not assign these Terms without consent.
